Welcome to Pitchster.ai. These Terms and Conditions, together with any referenced policies, order forms, subscription terms, product terms, privacy notices, or written agreements, govern your access to and use of Pitchster.ai's website, software, AI-enabled tools, products, applications, content, and related services.

These Terms apply to:

• Pitchster.ai applications, platforms, tools, dashboards, forms, demos, and landing pages
• AI-assisted content, pitch, sales, investor, and business workflow tools
• Any services, features, or offerings where these Terms are posted or referenced

By accessing or using Pitchster.ai, you agree to these Terms. If you do not agree, do not use the services.

1. Definitions

For purposes of these Terms:

"Pitchster.ai," "Pitchster," "we," "us," or "our" means the owner and operator of Pitchster.ai.

"Services" means the Pitchster.ai website, platform, software, AI tools, workflows, templates, content generation tools, document tools, analytics, dashboards, integrations, support, and related services.

"User," "you," or "your" means any person or entity accessing or using the Services.

"Customer" means a person or organization that creates an account, subscribes to, purchases, or otherwise uses Pitchster.ai.

"User Content" means any content, data, files, prompts, instructions, documents, pitch decks, business plans, investor materials, company information, financial assumptions, customer information, feedback, or other materials that you upload, submit, generate, store, or process through the Services.

"Output" means AI-generated or system-generated content, suggestions, edits, summaries, analyses, recommendations, templates, reports, or other materials created through the Services.

"Subscription" means any paid, recurring, trial, promotional, or enterprise access plan.

2. Eligibility

You may use Pitchster.ai only if you:

• Are at least 18 years old, or the age of majority in your jurisdiction
• Have the legal authority to agree to these Terms
• Are not prohibited from using the Services under applicable law
• Are using the Services for lawful business, professional, or personal purposes

If you use Pitchster.ai on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration and Security

To access certain features, you may need to create an account. You agree to:

• Provide accurate and complete information
• Keep your login credentials secure
• Promptly update account information when necessary
• Notify us of unauthorized access or suspected security issues
• Accept responsibility for all activity under your account

We are not responsible for losses caused by your failure to secure your account credentials.

We may suspend or terminate accounts if we reasonably believe there has been unauthorized use, abuse, fraud, security risk, or violation of these Terms.

4. Description of Services

Pitchster.ai provides AI-enabled software and workflow tools that may help users create, edit, review, organize, improve, or analyze business-related materials, including: pitch decks, startup narratives, investor materials, sales presentations, business plans, marketing content, go-to-market materials, product positioning, fundraising materials, executive summaries, customer-facing documents, internal strategy documents, and related business communications.

The Services may include AI-assisted generation, editing, review, formatting, recommendations, templates, analytics, collaboration features, integrations, exports, and automation.

We may modify, improve, suspend, discontinue, or limit any part of the Services at any time.

5. AI-Generated Content and User Responsibility

Pitchster.ai may use artificial intelligence, machine learning, automation, and third-party model providers to generate or assist with content.

You understand and agree that:

• AI-generated Output may be inaccurate, incomplete, outdated, biased, or unsuitable for your intended purpose.
• Similar or identical Output may be generated for other users.
• Output may require human review, editing, validation, and professional judgment.
• Pitchster.ai does not guarantee that Output is unique, legally compliant, commercially successful, investment-ready, investor-approved, or error-free.
• You are solely responsible for reviewing and approving any Output before using, publishing, sending, filing, presenting, or relying on it.

Pitchster.ai does not provide legal, tax, accounting, securities, investment, financial, medical, or professional advice. Any Output related to those topics is for informational and drafting assistance only and should be reviewed by qualified professionals.

6. No Investment, Legal, or Financial Advice

Pitchster.ai may help create or improve investor materials, financial narratives, market summaries, business models, fundraising documents, or related content.

However:

• Pitchster.ai is not a broker-dealer, investment adviser, law firm, accounting firm, tax adviser, or financial adviser.
• Pitchster.ai does not guarantee fundraising success, investor interest, valuation, revenue, profitability, market traction, or business outcomes.
• You are responsible for complying with securities laws, advertising laws, tax laws, employment laws, data privacy laws, and other applicable obligations.
• You should consult qualified legal, tax, accounting, financial, or investment professionals before making decisions based on any Output.

7. User Content

You retain ownership of your User Content, subject to the rights granted in these Terms.

By submitting User Content to Pitchster.ai, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, transmit, modify, and use your User Content solely as necessary to: provide the Services, generate Output, operate and maintain the platform, provide customer support, improve user experience, troubleshoot errors, secure the Services, comply with legal obligations, and enforce these Terms.

You represent and warrant that:

• You own or have the necessary rights to submit User Content
• Your User Content does not violate any law, contract, intellectual property right, privacy right, confidentiality obligation, or third-party right
• You have obtained all required consents and permissions
• You will not upload unlawful, harmful, infringing, or restricted content

You are solely responsible for User Content and any consequences of submitting or using it.

8. Ownership of Output

Subject to your compliance with these Terms and applicable law, Pitchster.ai assigns to you any ownership rights we may have in Output generated specifically for you through the Services.

However, you acknowledge that:

• Output may not be protectable by intellectual property laws.
• Similar or identical Output may be generated for other users.
• Pitchster.ai does not guarantee exclusivity of Output.
• You are responsible for determining whether Output infringes third-party rights.
• Templates, system designs, software, workflows, prompts, interfaces, models, and platform components remain owned by Pitchster.ai or its licensors.

9. Pitchster.ai Intellectual Property

Pitchster.ai and its licensors own all rights, title, and interest in and to the Services, including: software, source code, object code, platform architecture, workflows, user interface designs, templates, prompts, automation logic, databases, AI orchestration methods, branding, logos, trademarks, service marks, documentation, training materials, website content, product designs, and analytics and reporting formats.

Except as expressly stated in these Terms, no rights are granted to you in Pitchster.ai intellectual property.

You may not copy, reverse engineer, modify, distribute, sell, lease, sublicense, or create derivative works from the Services unless expressly permitted in writing.

10. Feedback

If you provide feedback, suggestions, ideas, comments, or recommendations about Pitchster.ai, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation.

We may use feedback to improve products, create features, develop services, or support business operations.

11. Acceptable Use

You agree not to use Pitchster.ai to:

• Violate any law, regulation, contract, or third-party right
• Upload content you do not have the right to use
• Generate fraudulent, deceptive, misleading, or illegal content
• Create fake investment claims, fabricated traction, false financials, or misleading investor materials
• Impersonate another person or organization
• Misrepresent your identity, company, credentials, funding status, customers, partners, revenue, or product capabilities
• Infringe intellectual property rights
• Violate privacy, publicity, confidentiality, or data protection rights
• Upload malware, viruses, malicious code, or harmful content
• Attempt unauthorized access to systems or accounts
• Scrape, harvest, or extract data from the Services without permission
• Reverse engineer, benchmark, or copy the Services for competitive purposes
• Overload, disrupt, or interfere with the Services
• Circumvent usage limits, security features, access controls, or billing systems
• Use the Services for spam, phishing, scams, or deceptive outreach
• Generate regulated advice without qualified professional review
• Use Output in high-risk contexts without appropriate human oversight
• Violate applicable AI usage policies, safety rules, or platform restrictions

We may suspend or terminate access for violations of this section.

12. Prohibited High-Risk Uses

Unless expressly authorized in writing, you may not use Pitchster.ai for:

• Automated legal, financial, employment, housing, credit, insurance, or healthcare decisions
• Securities offerings or fundraising materials without human and legal review
• Fraudulent investment solicitations
• Regulated professional advice
• Safety-critical systems
• Biometric identification
• Surveillance
• Political persuasion or deceptive campaign activity
• Deepfakes or impersonation
• Harmful, abusive, exploitative, or discriminatory content
• Any use prohibited by applicable law or third-party AI provider policies

13. Subscriptions, Billing, and Payments

Pitchster.ai may offer free, trial, paid, monthly, annual, usage-based, enterprise, or promotional plans.

By purchasing a Subscription, you authorize Pitchster.ai and its payment processors to charge your selected payment method for applicable fees, taxes, renewals, overages, add-ons, and other charges.

You agree to:

• Provide accurate billing information
• Keep payment details current
• Pay all charges when due
• Authorize recurring billing where applicable
• Pay taxes unless exempt
• Resolve failed payments promptly

We may suspend or terminate access for unpaid fees.

14. Auto-Renewals and Cancellation

If your Subscription automatically renews, we will disclose renewal terms at checkout or in the applicable order process.

Unless you cancel before the renewal date, your Subscription may renew automatically and your payment method may be charged.

You may cancel according to the cancellation method provided in your account, order form, invoice, or subscription settings.

Where applicable law requires specific renewal notices, consent, cancellation methods, or disclosures, Pitchster.ai will comply with those requirements.

Cancellation does not necessarily entitle you to a refund unless required by law or stated in the applicable plan terms.

15. Free Trials and Promotions

Pitchster.ai may offer free trials, beta access, credits, discounts, or promotional plans.

We may modify or withdraw trials or promotions at any time.

Unless otherwise stated:

• Trials are available once per user, company, or billing method
• Trial access may be limited
• Trial features may differ from paid plans
• We may require payment information before or during a trial
• If auto-renewal applies, we will disclose renewal terms before charging you

You are responsible for canceling before the end of a trial if you do not want to be charged, unless applicable law requires otherwise.

16. Refunds

Fees are non-refundable except as required by law or expressly stated in a written agreement, order form, or refund policy.

We may, at our discretion, issue refunds, credits, or extensions, but doing so does not create an obligation to provide similar treatment in the future.

Enterprise fees, setup fees, onboarding fees, professional service fees, and custom development fees may be non-refundable unless otherwise stated in writing.

17. Enterprise and Business Accounts

If you access Pitchster.ai through an organization, your organization may have administrative control over your account, workspace, content, access, billing, and usage.

Organization administrators may be able to: add or remove users, assign roles and permissions, access workspace content, review usage, configure settings, manage integrations, export data, suspend or delete accounts, and enforce company policies.

Your organization is responsible for managing its users and ensuring that its use of Pitchster.ai complies with applicable law.

18. Confidentiality

If you submit confidential business information to Pitchster.ai, we will use reasonable efforts to protect it consistent with our Privacy Policy and applicable agreements.

However, you should not submit highly sensitive, regulated, classified, or restricted information unless Pitchster.ai has expressly agreed in writing to handle that information.

Confidential information does not include information that is publicly available, was already known without confidentiality obligation, is independently developed, is lawfully received from a third party, or must be disclosed by law.

19. Third-Party Services and Integrations

Pitchster.ai may integrate with or link to third-party services, including AI model providers, cloud hosting providers, payment processors, CRM platforms, and more.

Your use of third-party services may be governed by separate terms and privacy policies. Pitchster.ai is not responsible for third-party services, content, actions, outages, security incidents, or data practices.

We may enable, disable, modify, or remove integrations at any time.

20. Data Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that Pitchster.ai may collect, process, store, and share information as described in the Privacy Policy.

If you submit personal information about others, you represent that you have provided required notices and obtained required consents.

21. Security

We use reasonable technical, administrative, and organizational safeguards designed to protect the Services and User Content.

However, no system is perfectly secure. You acknowledge that use of online services involves risk.

You are responsible for securing your login credentials, managing authorized users, limiting access to confidential information, reviewing integrations, using strong passwords, and notifying us of suspected security issues.

22. Beta Features

Pitchster.ai may offer beta, pilot, experimental, preview, or early-access features. Beta features are provided "as is" and may be incomplete, contain errors, change without notice, be discontinued, produce inaccurate Output, have limited support, or be subject to additional terms. You use beta features at your own risk.

23. Service Availability

We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free, or always-available access.

The Services may be unavailable due to maintenance, updates, security issues, third-party outages, network failures, force majeure events, abuse prevention, or legal or compliance requirements. We are not liable for downtime, delays, interruptions, or loss of access.

24. Changes to Services

We may modify, suspend, discontinue, replace, or limit any part of the Services at any time. We may also update features, models, workflows, templates, limits, pricing, and plan structures. If a material change affects a paid Subscription, we will provide notice where required by law or contract.

25. Termination and Suspension

We may suspend or terminate your access if you violate these Terms, fail to pay fees, your use creates legal/security risk, we suspect fraud/abuse, required by law, we discontinue the Services, or your account remains inactive for an extended period.

Upon termination, your right to use the Services ends, we may delete or restrict access to your account/User Content, and outstanding fees remain due.

26. Data Export and Deletion

Depending on your plan and product functionality, you may be able to export certain User Content before termination. We may retain or delete User Content according to our Privacy Policy, backup cycles, legal obligations, or security needs. We are not responsible for failure to export content before termination or deletion.

27. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." Pitchster.ai disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, security, completeness, or suitability of Output.

28. Limitation of Liability

To the maximum extent permitted by law, Pitchster.ai and its officers will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of data, or reliance on AI-generated content.

Our total liability will not exceed the greater of the amount you paid to Pitchster.ai during the three months before the claim or USD \$100.

29. Indemnification

You agree to defend, indemnify, and hold harmless Pitchster.ai from and against claims, damages, and expenses arising from your use of the Services, User Content, Output usage, violation of these Terms, or violation of law.

30. Copyright and Intellectual Property Complaints

If you believe content on Pitchster.ai infringes your copyright, contact compliance@pitchster.ai with required documentation including a description of the work and location of the allegedly infringing material.

31. Export Control and Sanctions

You may not use Pitchster.ai if you are located in a sanctioned country or listed on any restricted party list. You agree to comply with all applicable export control and sanctions laws.

32. Government Use

If used by a government entity, the Services are commercial products provided with only those rights expressly granted in these Terms or a written agreement.

33. Publicity

Unless otherwise agreed, you grant us the right to use your company name and logo to identify you as a customer in marketing materials. You may opt out by contacting compliance@pitchster.ai.

34. Force Majeure

Pitchster.ai will not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet/cloud failures, cyberattacks, power outages, or pandemics.

35. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles, unless otherwise required by applicable law.

36. Dispute Resolution

Before filing a claim, you agree to first contact us at compliance@pitchster.ai to attempt informal resolution. If unresolved, disputes will be resolved in the state or federal courts located in San Diego County, California.

37. Class Action Waiver

To the maximum extent permitted by law, you and Pitchster.ai agree that disputes will be brought only on an individual basis and not as a class, consolidated, collective, or representative action.

38. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice via our website, email, or in-product notice. Your continued use after changes become effective means you accept the updated Terms.

39. Additional Terms

Certain features, products, or integrations may be subject to additional terms. If there is a conflict between these Terms and a signed written agreement, the signed written agreement will control.

40. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

41. No Waiver

Failure to enforce any provision of these Terms does not waive our right to enforce it later.

42. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.

43. Entire Agreement

These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and Pitchster.ai regarding the Services.
